Legal Counsel, M&A (General Corporate)

Kerry Consulting is partnering with a leading regional organization engaged in active M&A and investments across the region, while also providing strategic advisory support to its portfolio companies. They are currently looking for a Legal Counsel with expertise in M&A to join the organization at the Group level to provide strategic legal support for all their activities. This is a people management role and you will be responsible for managing a small team of 3 legal executives.

Responsibilities

As the Legal Counsel for the Group, you will assist in managing and overseeing all legal and compliance matters across the organization. You will lead and support end-to-end M&A transactions, joint ventures, and strategic investments, while also drafting, reviewing, and negotiating a wide range of commercial agreements, including service agreements, SaaS contracts, vendor and contractor agreements, and NDAs.

You will provide assistance to senior management on legal strategy, risk, and compliance, ensuring that business decisions align with regulatory requirements and best practices. You will also enhance and maintain internal policy frameworks and corporate governance guidelines to minimize legal and regulatory risks. In addition, you will liaise with internal and external stakeholders, including regulatory authorities, to effectively address and resolve legal and compliance matters.

Requirements

In order to succeed in this role, you should be a qualified lawyer with minimally 5 years PQE. Candidates with proven experience in leading end-to-end corporate M&A acquisitions across APAC and a strong understanding of laws and regulations across the APAC region is highly preferred. You should enjoy working in a highly dynamic environment and enjoy great independence.
